There is currently a wealth of information available on business registration in Ukraine, including official websites, blogs, and legal consultations. Nevertheless, entrepreneurs continue to make mistakes and face business registration refusals. The reason is simple: there are different business structures (sole proprietorships and limited liability companies), each with its own requirements regarding documentation, processing times, and registration procedures. We have compiled practical, up-to-date information to help you start your business without unnecessary delays or stress.
The main law governing business registration in Ukraine is the Law of Ukraine “On State Registration of Legal Entities, Individual Entrepreneurs and Public Organizations” No. 755-IV. It establishes the procedure for entering information into the Unified State Register (USR), registration timeframes (usually up to 24 hours), and grounds for refusal. In most cases, no administrative fee is charged for registering a sole proprietorship or an LLC.
Registering a Sole Proprietorship in Ukraine
When a Ukrainian citizen registers as a sole proprietor.
The Diia digital platform is currently the easiest and fastest way to register as a sole proprietor in Ukraine. You will need a qualified electronic signature (QES or Diia.Signature), a passport (or national ID card), and a taxpayer registration number (RNOKPP).
Steps: 1. Sign in to Diia.
2. Select the “Sole Proprietorship Registration” or “Start a Business” service.
3. Enter your address, business activity codes (KVED), and chosen tax system (general or simplified).
4. Sign the application electronically.
Registration often takes just a few hours. After registration, you need to open a business bank account and set up your electronic taxpayer account. You can also register through an Administrative Services Centre (CNAP) or a state registrar by submitting the same documents.
When a foreign national registers as a sole proprietor.
Foreign nationals can also establish their own businesses in Ukraine. However, the Diia service is generally unavailable to them for this purpose, so applications can be submitted through an Administrative Services Centre (CNAP) or a notary. The required documents include a temporary or permanent residence permit, a taxpayer registration number (RNOKPP), a passport with a translation, and an application. A tourist visa does not grant the right to register a business.
Registering a Limited Liability Company (LLC) in Ukraine
Founder — an individual who is a Ukrainian citizen.
If you use the model charter without amendments and have a single founder, you can register an LLC through Diia by signing the application with a qualified electronic signature (QES). The application must include the LLC name (after checking its availability in the Unified State Register), registered address, business activity codes (KVED), tax system, and charter capital. This registration process can take only a few minutes. If you need a customized charter, the documents should be submitted through an Administrative Services Centre or a notary.
Founder — a foreign individual.
Foreign nationals cannot generally register an LLC online through Diia. The required documents include a taxpayer registration number (RNOKPP), a passport with a notarized translation (and an apostille, if required), a decision to establish the company, a charter (model or customized), and a diagram of the ownership structure. The company can also be registered remotely through an authorized representative acting under a power of attorney. Registration may take up to two business days after the documents have been submitted. A foreign national may own 100% of an LLC without obtaining special permits.
Founder — a Ukrainian legal entity.
The required documents include a decision of the authorized governing body of the founding company, its charter, an application, and an ownership structure diagram. The documents must be submitted to a state registrar, through an Administrative Services Centre, or through a notary. The procedure is largely the same as for individual founders, but additional documents relating to the founding legal entity must also be provided.
Founder — a foreign legal entity.
You will need documents from the country where the company is registered, including an extract from the commercial register, the company's charter, and a decision to establish the new company. These documents may need to be apostilled, translated into Ukrainian, and notarized. The company's representatives must obtain taxpayer registration numbers (RNOKPPs). The standard registration package and a diagram identifying the ultimate beneficial owners must also be submitted. Registration takes longer because of the time required for preparing documents abroad. The entire process may take up to six weeks.
When an LLC has both individual and corporate founders.
This mixed ownership structure is permitted by Ukrainian law. There is no general limit on the number of founders. They may include Ukrainian citizens, foreign nationals, Ukrainian companies, and foreign legal entities. Automated registration through Diia is generally unavailable in such cases. The documents must therefore be submitted to a state registrar, through an Administrative Services Centre, or through a notary.
The main documents required for registration include:
* an application for state registration of the legal entity;
* minutes of the constituent meeting (or a decision) adopted by all founders, specifying the establishment of the LLC, the amount and allocation of charter capital, and the appointment of the director;
* a charter (model or customized);
* a diagram of the ownership structure identifying the ultimate beneficial owners;
* documents relating to individual founders (passport and RNOKPP; for foreign nationals, a notarized translation is required);
* documents relating to corporate founders (an extract from the Unified State Register or a foreign register and a decision of the authorized governing body; for a foreign company, an apostille and translation, where required).
Registration may take up to one business day after correctly completed documents have been submitted. It is particularly important to clearly specify each founder's ownership share and accurately document the ownership structure to avoid registration refusals.
Useful tips for registering a business in Ukraine:
1. Before registering, carefully check the availability of your chosen LLC name and select the appropriate KVED codes. Mistakes at this stage are among the common reasons for registration refusals and tax-related problems.
2. Decide on your tax system before submitting the application (the single tax system or the general taxation system).
3. If you do not need special provisions, consider using the model charter to speed up the registration process.
4. Open a business bank account immediately after registration and ensure that your tax registration is in order. Some procedures may be completed automatically.
5. Foreign nationals are advised to consult a Ukrainian lawyer or appoint an authorized representative under a power of attorney. This can save time when arranging apostilles and translations.
6. Keep all electronic extracts from the Unified State Register, as they serve as important evidence of your company's registration status.
Business registration in Ukraine has become significantly easier thanks to digitalization. The key is to prepare the correct set of documents based on the chosen business structure and the founder's status. Proper preparation can substantially reduce the risk of rejection and help you launch your business quickly and legally. Good luck with your new venture!
